Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

1. Electronic Record & Acceptance

These Terms & Conditions ("Terms") constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder. These Terms do not require any physical or digital signature.

These Terms govern your access to and use of the GiftM platform, including the websites, mobile applications, APIs, marketplace, order management tools, reward fulfilment tools, customer support channels, and other related services made available by Giftm Technologies Private Limited ("GiftM", "we", "us" or "our"), having its registered office at 39/4 40/1B, Flat No. 801, Floor 8, Wing B, Kavya Residency-B, Kasarvadavali Village Boriwade, G.B. Road, Opp. Municipal Garden, Thane (W) - 400615, Maharashtra, India.

By accessing, browsing, registering on, placing an order through, integrating with, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, any applicable product-specific terms, and any written commercial agreement entered into with GiftM.

Acceptance of Terms If you do not agree to these Terms, you must not access or use the Platform. If you use the Platform on behalf of a company, employer, bank, institution, reseller, distributor, programme sponsor, or other organisation, you represent that you have authority to bind that organisation.

2. GiftM's Role

GiftM is a technology-enabled marketplace facilitating the discovery, purchase and delivery of digital gift cards, brand vouchers and reward products sourced from authorised issuers, aggregators and authorised supply partners.

Unless a product page or written agreement expressly states otherwise, GiftM is not the issuer of any gift card, brand voucher, stored value instrument, payment instrument, wallet, bank account, or regulated payment service. GiftM does not hold customer funds as stored value and does not guarantee redemption by any third-party brand, merchant, issuer, aggregator, or fulfilment source.

The respective brand, authorised issuer, aggregator, supply partner, merchant, or programme sponsor determines the issuance, activation, redemption mechanics, validity period, usage restrictions, participating outlets, expiry, cancellation rules, and other product-specific conditions applicable to each gift card, voucher, reward or benefit.

GiftM may provide technology, catalogue access, checkout, order routing, fulfilment coordination, delivery, API integration, reporting, support escalation, and other operational services in connection with the relevant product or programme.

3. Definitions

B2B Client
A corporate, bank, institution, aggregator, reseller, distributor, employer, programme sponsor, or other business customer that procures products or services from GiftM under an online order flow, purchase order, statement of work, API arrangement, or written commercial agreement.
Customer / User / you
Any person or entity accessing or using the Platform, including individual buyers, recipients, employees, programme participants, administrators and B2B Clients.
Gift Card / Voucher / Reward Product
A digital or physical gift card, brand voucher, code, coupon, reward benefit, incentive, loyalty redemption item, or similar product made available through the Platform and sourced from a brand, issuer, aggregator, authorised supply partner, programme sponsor, or other fulfilment source.
Marketplace
The GiftM digital marketplace, catalogue and related interfaces through which eligible products may be discovered, purchased, gifted, distributed, or redeemed.
Platform
GiftM's websites, mobile applications, APIs, dashboards, marketplace, communication channels, order management tools, reward fulfilment tools, and related technology services.
Programme Sponsor
A bank, employer, corporate client, brand, institution, or other B2B Client that creates, funds, controls, or administers a reward, loyalty, employee recognition, incentive, promotional, or benefits programme using GiftM's technology or fulfilment services.
Product Terms
The brand, issuer, aggregator, supplier, merchant, programme or product-specific terms applicable to a Gift Card, Voucher or Reward Product, including redemption, expiry, usage, refund, restriction and outlet conditions.

4. Eligibility & Account Registration

The Platform is intended for persons who are at least 18 years of age and competent to contract under applicable law. Minors may receive or use a Gift Card or Voucher only under the supervision of a parent or legal guardian and subject to applicable Product Terms.

You must provide accurate, complete and current information when creating an account, placing an order, receiving rewards, completing a business onboarding process, or communicating with GiftM. You are responsible for keeping your credentials confidential and for all activity under your account.

GiftM may refuse registration, suspend access, seek additional verification, or restrict Platform features where required for fraud prevention, security, compliance, supplier requirements, or protection of users and business partners.

You must promptly notify GiftM through the support channel specified on the Platform if you suspect unauthorised access, credential compromise, fraudulent activity, or misuse of a Gift Card, Voucher or Reward Product.

5. Business Onboarding, KYB & Risk Checks

GiftM may require B2B Clients and certain high-risk or high-volume users to complete business onboarding, KYB, sanctions screening, beneficial ownership checks, tax verification, authorised signatory confirmation, or other risk checks before providing bulk procurement, API access, programme administration, credit terms, invoicing, or customised services.

Information requested may include:

  • Incorporation documents, GST registration and PAN
  • Authorised signatory details and billing information
  • Beneficial ownership information
  • Business use case, purchase volumes and programme details
  • End-recipient categories
  • Any other information reasonably required for onboarding, risk, tax, supplier or compliance purposes
Verification & Risk GiftM may reject, suspend, delay, cancel, restrict, or terminate access where information is incomplete, inaccurate, misleading, unverifiable, inconsistent with the proposed use case, linked to prohibited activity, or otherwise raises fraud, sanctions, money laundering, tax, reputational, supplier, payment-gateway or compliance concerns.

B2B Clients must ensure that their employees, participants, administrators, channel partners, distributors and authorised users comply with these Terms, applicable Product Terms, internal programme rules, and all applicable laws.

6. Gift Cards, Vouchers & Reward Products

Product availability, denomination, activation, delivery format, permitted use, validity, redemption process, participating locations, merchant restrictions, transferability, cancellation rights and other Product Terms may vary by brand, issuer, aggregator, supplier, programme and order type.

You must review the Product Terms before purchasing, distributing, accepting or using any Gift Card, Voucher or Reward Product. By completing a purchase, distribution or redemption, you accept the applicable Product Terms.

Gift Cards, Vouchers and Reward Products are generally not redeemable for cash, cannot be withdrawn to a bank account, and may be non-transferable or restricted to specific stores, websites, categories, geographies, customer segments, dates, amounts or transaction types, unless the applicable Product Terms state otherwise or applicable law requires otherwise.

Expired, blocked, cancelled, restricted, fraudulently obtained, unauthorisedly resold, or already redeemed Gift Cards, Vouchers and Reward Products may not be honoured. GiftM is not responsible for non-redemption arising from user error, expired validity, incorrect recipient details, breach of Product Terms, brand or issuer restrictions, merchant-system downtime, or third-party refusal where GiftM is not at fault.

GiftM will make commercially reasonable efforts to assist with support escalations relating to activation or redemption issues, but the final redemption obligation remains with the relevant brand, issuer, aggregator, supply partner, merchant, or Programme Sponsor, as applicable.

7. Orders, Delivery & Recipient Details

Orders may be placed through the Marketplace, dashboard, API, bulk upload, purchase order, written commercial agreement, or other approved process. GiftM may accept, reject, cancel, delay or split any order for reasons including product availability, payment failure, risk review, supplier constraints, incorrect details, suspected misuse, or breach of these Terms.

Digital delivery may occur by email, SMS, WhatsApp, in-app notification, API response, dashboard download, file transfer, or another method selected or approved by GiftM. Delivery timelines shown on the Platform are estimates unless expressly confirmed in writing.

You are responsible for ensuring that recipient names, email addresses, mobile numbers, delivery addresses, denominations, quantities, programme fields, custom messages and other order details are accurate before submission. GiftM is not responsible for delivery to an incorrect recipient or address caused by information supplied by you or your authorised users.

Where delivery fails because of incorrect details, device settings, network issues, spam filters, recipient-side restrictions, courier failure, brand-system downtime, supplier delays, or other third-party factors, GiftM may attempt reasonable re-delivery or support escalation, subject to Product Terms and feasibility.

8. Marketplace Purchases

The Marketplace enables eligible users to discover, purchase, gift, distribute and redeem Gift Cards, Vouchers and Reward Products from a curated catalogue. Products are subject to availability and may be added, modified, delisted, disabled or withdrawn at any time.

Product descriptions, denominations, validity, redemption instructions, participating outlets, images, brand names, logos and restrictions are generally provided or approved by the relevant brand, issuer, aggregator, supplier or merchant. GiftM seeks to keep marketplace information current but does not warrant that third-party product information will always be complete, error-free or up to date.

If a paid Marketplace order cannot be fulfilled because the product becomes unavailable after payment, GiftM will arrange a refund, credit, replacement product, or other resolution in accordance with the applicable refund policy and Product Terms.

GiftM is not the seller of the underlying goods or services that may be purchased from a third-party brand or merchant using a Gift Card or Voucher. Complaints regarding the quality, safety, fitness, delivery or availability of such underlying goods or services must be directed to the relevant brand or merchant, with GiftM providing reasonable facilitation where appropriate.

9. B2B, API, Loyalty, Employee Reward & Incentive Programmes

GiftM may provide B2B Clients with marketplace access, bulk procurement, APIs, dashboards, reporting, reward fulfilment, catalogue management, employee reward and recognition tools, sales incentive tools, bank reward fulfilment, loyalty redemption support, and related services.

Unless expressly agreed otherwise in writing, the B2B Client or Programme Sponsor is responsible for programme design, eligibility, participant communications, funding, budget approvals, reward allocation, performance data, tax treatment, employee or participant disputes, internal approvals, and compliance with its own policies and applicable laws.

GiftM may rely on instructions, data files, API calls, approval flows, administrator actions, purchase orders, recipient lists and other information submitted by a B2B Client or its authorised users. GiftM is not responsible for errors, duplicate rewards, incorrect allocations, unauthorised employee use, or participant disputes caused by incorrect or unauthorised client instructions.

Points & Rewards Programme points, benefits, credits, incentives or rewards are not cash, do not create a bank deposit or wallet balance with GiftM, and may be subject to expiry, reversal, adjustment, cancellation, sponsor funding, sponsor rules and Product Terms.

B2B Clients must not use GiftM's services for unauthorised broking, resale, arbitrage, discount abuse, money movement, payroll substitution, wage avoidance, prohibited incentives, illegal inducements, or any use case not disclosed to and approved by GiftM.

10. Payments, Invoicing & Taxes

Payments may be made using payment methods made available at checkout or agreed in writing, including card, UPI, net banking, wallet, bank transfer, credit terms, purchase order, or other approved method. Available methods may vary by user, order type, product, risk profile and geography.

GiftM may use third-party payment gateways, banks, acquiring partners, processors and payment service providers to process payments. GiftM does not store full payment card details and relies on payment partners for payment processing, authentication, settlement, refunds and payment security controls.

B2B payment terms, credit limits, invoicing, taxes, late fees, set-off rights, purchase order requirements and reconciliation processes will be governed by the applicable commercial agreement. In the absence of a separate agreement, payment may be required in advance.

Prices may be exclusive or inclusive of GST and other taxes as stated at checkout, in the invoice, or in the applicable commercial agreement. Customers are responsible for providing accurate GSTIN, billing, tax and recipient information. GiftM is not responsible for input tax credit loss, tax mismatch, withholding disputes, or compliance consequences caused by incorrect or delayed information supplied by the customer.

Rewards, prizes, cashback, employee benefits, incentives, commissions, promotional benefits or other value received through the Platform may have tax consequences for recipients, employers, Programme Sponsors or B2B Clients. Each party is responsible for its own tax compliance except to the extent GiftM is legally required to deduct, collect, report or remit tax.

11. Cancellations, Refunds & Failed Fulfilment

Cancellation and refund rights depend on the order type, Product Terms, delivery status, redemption status, supplier rules, payment method, and applicable law.

Digital Products Unless the applicable Product Terms or commercial agreement provide otherwise, a digital Gift Card, Voucher or Reward Product cannot be cancelled or refunded after the code, PIN, link or claim details have been delivered, revealed, downloaded, transmitted through API, allocated to a recipient, activated, redeemed, partially redeemed, or otherwise made available for use.

GiftM may approve a refund, replacement, re-delivery, order reversal, credit note or other resolution where an order fails because of GiftM's error, duplicate debit, confirmed non-fulfilment, product unavailability after payment, or another reason accepted by GiftM under its support process.

Refunds, where approved, will generally be made to the original payment method or through another legally permissible method. Timelines depend on the payment partner, bank, settlement cycle, reconciliation status and customer information. GiftM may require additional verification before processing high-value, suspicious, duplicate, or business-order refunds.

No refund will be provided for user error, incorrect recipient details, change of mind after delivery or code reveal, expired products, breach of Product Terms, unauthorised resale, fraud, promotional abuse, or redemption refusal caused by user-side non-compliance, unless applicable law requires otherwise.

12. Physical Cards, Customisation, Printing & Shipping

GiftM may offer physical cards, printed vouchers, customised gift-card carriers, personalised messages, branded packaging, or print-on-demand services where available. Physical fulfilment may be subject to separate pricing, artwork, proofing, production, courier, customs and delivery conditions.

You are responsible for ensuring that artwork, logos, text, recipient information, denominations, shipping addresses and approval proofs are accurate and authorised. GiftM is not responsible for errors in customer-approved proofs or materials.

Production and shipping timelines are estimates and may be affected by stock, print complexity, courier availability, address serviceability, customs clearance, public holidays, force majeure, supplier delays and customer approval delays.

Customised or printed items generally cannot be cancelled after production begins and cannot be returned except for confirmed damage, defect or incorrect fulfilment attributable to GiftM. Claims for damaged or defective physical orders must be raised within the timeline stated on the Platform or in the relevant order confirmation.

For international shipments, the recipient or customer is responsible for customs duties, import taxes, documentation, clearance charges, local compliance, failed-delivery costs and re-export or return costs, unless expressly agreed otherwise in writing.

13. Promotions, Offers & Abuse Controls

GiftM may offer discounts, cashback, referral benefits, bonus rewards, campaigns, contests, coupons, promotional codes, or other offers. Each offer is subject to its own terms, validity, eligibility, limits, exclusions, withdrawal rights and anti-abuse conditions.

GiftM may modify, suspend, withdraw, reverse or refuse any promotional benefit where it suspects misuse, multiple-account abuse, self-referral, resale, broking, automated activity, false information, collusion, payment abuse, chargeback abuse, technical exploitation or breach of offer terms.

Promotional benefits are not cash, may not be transferable, may be subject to expiry, and may be reversed if the underlying transaction is cancelled, refunded, disputed, charged back, found fraudulent, or otherwise invalid.

14. Acceptable Use & Prohibited Conduct

You must not use the Platform, Gift Cards, Vouchers, Reward Products, APIs or programme tools for any unlawful, fraudulent, abusive, misleading, unauthorised, harmful or commercially exploitative purpose, including:

  • Fraudulent transactions, stolen payment instruments, identity misuse, money laundering, sanctions evasion, terrorist financing or other illegal activity
  • Unauthorised resale, broking, arbitrage, exchange for cash, or use of products as a substitute for regulated payment instruments
  • Creating multiple accounts, using automated scripts, exploiting price errors, manipulating rewards, abusing discounts, or circumventing usage limits
  • Sharing, selling, publishing, scraping, cloning, guessing or attempting to compromise gift-card codes, PINs, API credentials, account credentials or security controls
  • Reverse engineering, scraping, crawling, copying, interfering with or attempting unauthorised access to the Platform, APIs, systems, databases or networks
  • Uploading malware, harmful code, infringing content, false information, unlawful content or unauthorised personal data
  • Using the Platform in a way that harms GiftM, users, brands, issuers, aggregators, suppliers, merchants, payment partners, courier partners or other third parties

15. Fraud, Security & Transaction Review

GiftM may use manual and automated controls to detect fraud, payment abuse, account compromise, suspicious activity, duplicate transactions, abnormal purchase patterns, supplier-risk issues, promotional misuse, API misuse, cyber threats and other security or compliance concerns.

GiftM may delay, block, cancel, reverse, restrict, refund, hold for review, request additional verification, or decline any account, order, delivery, redemption, API call, programme instruction, refund or payout where GiftM reasonably considers it necessary to manage risk, comply with law, protect users, prevent loss, satisfy supplier requirements, or respond to payment partner concerns.

You must cooperate with reasonable verification, investigation, chargeback, payment dispute, supplier escalation, law enforcement, regulatory or compliance requests. Failure to cooperate may result in suspension, cancellation, non-fulfilment, withholding of support outcomes, or termination, subject to applicable law.

GiftM may report suspected illegal activity, fraud, cyber incidents, sanctions matches, money laundering indicators, or misuse to banks, payment gateways, suppliers, law enforcement, regulators, affected partners or other relevant authorities where appropriate or legally required.

16. Mobile Applications & App Store Terms

GiftM may make mobile applications available through Apple App Store, Google Play Store or other distribution channels. Use of the GiftM mobile applications is subject to these Terms and the applicable app store terms.

GiftM grants you a limited, revocable, non-exclusive, non-transferable licence to install and use the mobile application for personal use or authorised business use in accordance with these Terms. You must not reverse engineer, decompile, modify, resell, lease, sublicense, bypass security controls, or misuse the application.

Apple, Google and other app store operators are not parties to these Terms and are not responsible for GiftM's services, products, support, maintenance, claims or content, except to the extent their own terms state otherwise.

17. AI Features, Chatbots & Automated Tools

The Platform may include AI-enabled search, recommendations, chatbots, virtual assistants, automated support tools, fraud controls, categorisation, matching, or other automated features.

AI-enabled responses may be incomplete, inaccurate or based on limited information. They do not replace the applicable Product Terms, order confirmation, written commercial agreement, formal support decision, or legal advice.

AI Interaction Notice You must not enter passwords, payment credentials, Aadhaar details, sensitive authentication information, confidential business information, or unnecessary personal data into chatbot or AI interfaces. AI interactions may be processed in accordance with the Privacy Policy and applicable law.

18. Data Protection, Privacy & Communications

GiftM processes personal data in accordance with its Privacy Policy and applicable data protection law, including the Digital Personal Data Protection Act, 2023 to the extent applicable.

You must ensure that any personal data submitted to GiftM, including employee, participant, recipient, customer, administrator or beneficiary data, is collected and shared lawfully and with all required notices, consents, authorisations or other legal bases.

GiftM may send transactional communications relating to accounts, orders, rewards, redemption, support, security, invoices, statements, service updates and programme administration through email, SMS, WhatsApp, push notification, dashboard alerts, API responses, phone calls or other channels. Marketing communications will be handled in accordance with applicable law and available opt-out choices.

You are responsible for keeping contact details current and for ensuring that your device, email provider, spam filters, messaging settings, network provider and organisational systems allow receipt of relevant communications. GiftM is not liable for delay, failure or distortion caused by third-party communication systems or incorrect contact information.

19. Intellectual Property & Brand Use

The Platform, software, APIs, interfaces, designs, workflows, databases, documentation, templates, logos, trade names, trademarks, content and other materials made available by GiftM are owned by GiftM or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms and any written commercial agreement, GiftM grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purpose. No ownership rights are transferred to you.

You must not copy, reproduce, scrape, modify, reverse engineer, frame, mirror, distribute, exploit, sell, sublicense, or create derivative works from the Platform, APIs, data, documentation or GiftM intellectual property except as expressly permitted in writing.

Brand names, logos, images and marks of third-party brands, issuers, merchants, aggregators, suppliers or partners remain the property of their respective owners. Their appearance on the Platform does not imply endorsement beyond the relevant catalogue or fulfilment arrangement.

20. User Content & Custom Content

You may be able to submit reviews, ratings, messages, artwork, logos, images, text, recipient messages, campaign material, programme content or other content through the Platform ("User Content").

You represent that you have all rights and permissions required to submit User Content and that it does not infringe intellectual property, privacy, publicity, confidentiality or other rights of any person and does not contain unlawful, defamatory, obscene, threatening, discriminatory, misleading, harmful or malicious material.

For operational content submitted for a specific order, campaign, card design or print order, you grant GiftM a limited licence to use, reproduce, adapt and process that content as required to fulfil the relevant order or provide the relevant service. For public reviews, ratings or feedback submitted through the Platform, you grant GiftM a non-exclusive, royalty-free licence to use, display, reproduce and moderate such content for platform, quality, support and marketing purposes, subject to applicable law.

GiftM may reject, remove, disable, moderate or refuse to print or publish User Content that GiftM reasonably considers unlawful, infringing, unsafe, offensive, misleading, non-compliant, inconsistent with brand requirements, or otherwise inappropriate.

21. Third-Party Brands, Issuers, Aggregators, Suppliers & Merchants

Third-party brands, issuers, aggregators, authorised supply partners, suppliers, merchants, courier partners, payment partners, cloud providers, communication providers and other service providers may be involved in making the Platform or products available.

GiftM is not responsible for third-party websites, merchant systems, app stores, courier networks, payment systems, brand redemption systems, outage events, policy changes, product discontinuations, outlet closures, refusal of redemption, quality of underlying goods or services, or third-party acts or omissions, except to the extent directly attributable to GiftM under applicable law.

GiftM may change suppliers, fulfilment sources, catalogue availability, delivery channels, communication vendors, payment partners or support workflows without prior notice where required for operational, commercial, security or compliance reasons.

22. Suspension, Termination & Account Restrictions

GiftM may suspend, restrict or terminate your account, order access, API access, programme access, redemption access, delivery, refund eligibility, or other Platform features if GiftM reasonably believes that you have breached these Terms, supplied inaccurate information, failed verification, misused offers, engaged in fraud, created unacceptable risk, violated Product Terms, violated law, or caused harm to GiftM, users, suppliers, payment partners or other stakeholders.

Where reasonably practicable and legally permissible, GiftM may provide notice of suspension or restriction and an opportunity to respond. Immediate action may be taken without notice for fraud, security incidents, illegal activity, payment risk, urgent supplier instructions, regulatory directions, or material breach.

Termination or suspension does not affect accrued payment obligations, indemnities, confidentiality duties, tax obligations, dispute rights, limitations of liability, or provisions intended to survive termination.

23. Disclaimers

The Platform and GiftM services are provided on an "as is" and "as available" basis. GiftM does not warrant that the Platform will be uninterrupted, error-free, secure, compatible with every system, or free from viruses or harmful components.

GiftM does not warrant the availability, redemption, quality, fitness, merchant acceptance, outlet participation, continued validity, or commercial suitability of any third-party Gift Card, Voucher, Reward Product, underlying goods or services, except to the extent expressly stated by GiftM in writing.

Nothing in these Terms excludes rights, warranties, guarantees or remedies that cannot be excluded under applicable law.

24. Limitation of Liability

To the maximum extent permitted by applicable law, GiftM will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profit, loss of revenue, loss of goodwill, loss of data, business interruption, unauthorised access caused by user-side compromise, third-party redemption failure, supplier delay, brand policy change, payment partner failure, courier delay, or loss arising from your breach of these Terms or Product Terms.

For B2B Clients, any liability cap, exclusion, service credit, indemnity or remedy agreed in a signed commercial agreement will prevail over this section to the extent of inconsistency.

25. Indemnity

You agree to indemnify and hold harmless GiftM, its directors, officers, employees, contractors, affiliates and representatives from and against claims, losses, damages, penalties, costs and expenses, including reasonable legal fees, arising from your breach of these Terms, misuse of the Platform, violation of law, infringement of third-party rights, inaccurate data or instructions, unauthorised resale or distribution, fraud, payment dispute, chargeback abuse, tax non-compliance, or claims arising from User Content or Custom Content submitted by you.

B2B Clients must additionally indemnify GiftM against claims by employees, participants, channel partners, distributors, customers, Programme Sponsors, regulators, tax authorities or other third parties arising from the B2B Client's programme design, eligibility decisions, performance data, participant communications, tax treatment, funding, approvals, internal policies, or unauthorised administrator actions.

26. Confidentiality

Each party may receive confidential information of the other party in connection with business onboarding, API integrations, pricing, programme design, reporting, order files, recipient lists, business volumes, technical documentation or support escalations.

The receiving party must use confidential information only for the purpose for which it was disclosed, protect it using reasonable safeguards, and not disclose it except to personnel, advisers, service providers, auditors, regulators or authorities who need to know it and are bound by appropriate duties, or where disclosure is required by law.

This section does not restrict use or disclosure of information that is public, already known without restriction, independently developed, lawfully received from a third party, or required to be disclosed by law.

27. Changes to the Platform & Terms

GiftM may update the Platform, catalogue, features, delivery channels, APIs, policies, Product Terms, prices and these Terms from time to time.

Updated Terms will be effective when posted on the Platform or otherwise notified, unless a later effective date is stated. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

Material changes may be notified through the Platform, email, dashboard notice, account notice, or other reasonable means. For B2B Clients with signed agreements, amendment procedures in the signed agreement will apply to the extent expressly stated.

28. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

The parties will first attempt to resolve disputes through good-faith discussions. If a dispute is not resolved within 30 days after written notice, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

  • Language of arbitration: English
  • Jurisdiction for interim relief, enforcement and court proceedings: Courts at Mumbai, Maharashtra (exclusive)

Nothing in this section prevents GiftM from seeking urgent injunctive, equitable or protective relief for fraud, payment abuse, intellectual property misuse, confidentiality breach, security incidents, or unauthorised access.

29. Grievance, Support & Notices

Customer support and grievance channels are published on the Platform. Customer support may be contacted at support@giftm.ai. Complaints should include the user's name, registered contact details, order ID, product details, issue description, supporting screenshots or documents, and the relief requested. GiftM may request additional information to verify and investigate the complaint.

Legal notices to GiftM must be sent to legal@giftm.ai and to GiftM's registered office. Notices to users may be sent to the registered email address, mobile number, dashboard, account notification, or any other contact details provided to GiftM.

30. Miscellaneous

Entire Agreement
These Terms, the Privacy Policy, applicable Product Terms, order confirmations, and any signed commercial agreement together form the applicable agreement between the parties. If there is a conflict, the signed commercial agreement will prevail for the relevant B2B Client, followed by Product Terms for the relevant product, followed by these Terms, unless the relevant document states otherwise.
Assignment
You may not assign your rights or obligations without GiftM's prior written consent. GiftM may assign or transfer its rights and obligations in connection with a merger, restructuring, business transfer, financing, corporate reorganisation, or transfer of the Platform or relevant business line.
Severability
If any provision is invalid or unenforceable, the remaining provisions will continue in effect and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
Waiver
A failure or delay in enforcing any provision does not waive the right to enforce that provision later.
Language
If these Terms are translated, the English version will prevail to the extent of any inconsistency.
No Partnership
Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary or regulated payment-services relationship between you and GiftM.
Survival
Clauses relating to payments, taxes, fraud, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, dispute resolution and any other provisions intended to survive will survive termination or expiry.
